Contract of providing MagicReport Service
ArticleI Definitions /1/ MagicReport Software: Statistical computer program MagicReport, developed by the provider. /2/ MagicReport Service: Online web service providing statistics of accesses, developed by the provider. /3/ User: legal or physical person, which will obtain a right to use the Software, in the extent set by the Licence contract. /4/ Licence contract: contract between provider and End user, on basis of which provider provides an End user a right to use the Software, under the conditions and in the extent stated in the contract; Licence contract is a part of each copy of the Software MagicReport Client. Article II Subject of the contract /1/ Subject of this contract is an obligation of the provider to provide user a right for retributive access to statistical data for their processing in the program MagicReport Client and obligation of the user to pay the provider an agreed sum. Article III Rights and responsibilities of the user /1/ On the basis of this contract, user is authorized to process statistical data provided by the provider in the program MagicReport Client. /2/ Making the Software accessible is conditioned by concluding a Licence contract between provider and user. User is not authorized to make use of the program MagicReport Client accessible to persons, which did not conclude a Licence contract with the provider. /3/ User is obliged to pay agreed sum to the provider duly and on time. /4/ User undertakes to process provided statistical data only through the program MagicReport Client. Article IV Rights and responsibilities of the provider /1/ Provider undertakes to provide user all information, technical and other documents concerning the program MagicReport Client and necessary for due use of the authorization arising from this contract. /2/ Provider is authorized to control use of the program MagicReport Client in connection with Licence contract. /3/ Provider is authorized to cancel this contract with immediate validity in case of not meeting the obligations from the side of the user. /4/ Provider reserves the right to change an actual price list of provided services. Article V Payment to the provider /1/ User undertakes to pay the provider a price for providing of statistical data on the basis of actual price list in agreed regular periods. /2/ Agreed price will be paid by the user on the basis of an invoice issued by the provider, in a payment period. /3/ In case of delay of the user with payment of the sum, the partner is obliged to pay the provider interest from a delay in the amount of 0,1 % from owed sum for each day of delay. Article VI Termination of the contract /1/ Contract can be terminated on the basis of a written agreement of both contractual parties. /2/ Termination of the contract does not have any influence on obligation of the user to pay the sum, or contractual penalty according to agreements of this contract. Article VII Final provisions /1/ This contract becomes valid and effective as of the day of its signing by both contractual parties. /2/ Rights and obligations of the parties, not explicitly described in this contract, are treated according to relevant provision of the Commercial code and other generally binding legal regulations of Slovak Republic. /3/ This contract is executed in two facsimiles with validity of the original, one for each party. /4/ Provisions of this contract can be changed, modified, released or supplemented only on the basis of agreement of both parties, in a form of written supplements. /5/ Contractual parties declare that they read the contract, understand its content and as a sign of the agreement and their free and serious will they sign it with their signatures.
